Independent Marketing Associate Agreement

This agreement is between ProsperQuest™ (Hereinafter referred to as PQ) and, Independent Marketing Associate (Hereinafter referred to as IMA) in accordance with the following terms, conditions and provisions:

1. Work to be performed: The IMA agrees to perform the following work in accordance with this agreement: Marketing and selling ProsperQuest products and services.

IMA has the right to do other work at the same time, so long as it does not interfere with this work.

IMA is free to make his/her own work schedules, and is responsible for all labor needed to accomplish the desired goals. Any assistance necessary is the sole responsibility of the IMA, and IMA shall hold PQ harmless from any liability of any kind whatsoever owing to the use by IMA of such assistance.

2. Non-Solicitation: IMA agrees to not solicit members of PQ for competing programs or services.

3. Material, Supplies, Equipment and Tools: The IMA shall supply their own transportation, all his/her expenses, all materials, supplies, equipment, and tools required to accomplish the work agreed to be performed in accordance with this agreement, with the exception of program specific items which will be furnished by PQ.

4. Payroll Taxes: Payroll taxes including federal, state and local taxes shall not be withheld or paid by PQ on behalf of the IMA. The IMA operates as an Independent Contractor and shall not be treated as an employee with respect to the services preformed hereunder for federal or state tax purposes. The IMA shall be responsible to pay all taxes as mandated by law.

5. Fringe Benefits: Since the IMA is not an employee of PQ, the IMA is not eligible for and shall not participate in any employee benefits of the client including, pension, health, vacation, sick leave, holidays, medical insurance, unemployment compensation, worker’s compensation, or other fringe benefits.

6. Worker’s Compensation: PQ shall not obtain worker’s compensation insurance on behalf of the IMA or the employees of the IMA. The IMA shall comply with the worker’s compensation law concerning his/her business and its employees.

7. Effective Date: This agreement shall commence upon signing by IMA.

8. Termination With or Without Cause: Either party may terminate this agreement by giving thirty (30) days written notice via certified mail. The grounds for reasonable cause shall include: material violation of this agreement.

9. Non-Waiver: The failure of either party to this agreement to exercise any of its rights under this agreement at any time does not constitute a breach therefore and shall not be deemed to be a waiver of such rights or a waiver of any subsequent breach.

10. No Authority to Bind Client: The IMA has no authority to enter into contracts or agreements on behalf of PQ. This agreement does not create a partnership between the parties.

11. Declaration by Independent Marketing Associate: The IMA declares and states that he/she has complied with all federal, state, and local laws regarding business permits and licenses that may be required to carry out the work to be performed under this agreement.

12. Notices: Any notice given in connection with this agreement shall be given in writing and delivered via certified mail to:

13. Assignment of Agreement: Neither party may be allowed to assign this agreement in whole or in part. Any attempt to assign this agreement shall be null and void.

Addendum A - Compensation

1. Compensation Plan: IMA will receive a twenty-five ($25.00) direct sale commission for each of his/her first three (3) qualifying PQ Membership sales. IMA will earn a fifteen dollar ($15.00) commission on each of his/her second tier sales. Once IMA has secured all nine (9) second tier sales, he/she will receive an additional bonus of $14.00, for a total of $149.00 upon completion of his/her initial (qualifying) team.

Additionally, IMA will receive a $800.00 completion bonus credit that provides IMA automatic entry into the PQ Leverage Bonus Plan (LBP).

When the IMA advances into the LBP, he/she will receive a 75% LBP Override Commission ($600.00) for each of the nine second tier completion bonus participants in the LBP.

As the IMA completes the LBP cycle he/she will earn an additional $800.00 completion bonus credit, which provides automatic re-entry into a new cycle of the LBP.

When the IMA completes his/her three (3) PQ Qualifying Membership sales, he/she will be eligible to make additional membership sales. Starting with the fourth (4^th) PQ membership sale and each sale thereafter the IMA will earn a one hundred ($100.00) direct sales commission.

Additionally, the IMA will earn a seventy-five ($75.00) override commission on each of the personally sponsored IMA’s three (3) qualifying membership sales.

IMA will receive override commissions on the fourth (4^th) and subsequent sales generated by IMA’s team through six (6) generations (tiers/levels): First Tier: Ten dollars ($10.00) / Second through Fifth Tiers: Four dollars ($4.00) each / Sixth Tier: Five dollars ($5.00).

2. Right of Revision: PQ reserves the right to modify this compensation plan as required.
